Blogger Co-Op Agreement

The Chronicle of Social Change (the “Chronicle”) blogger co-op membership (“Membership”) will allow you to publish stories and commentary on the portions of the website located at https://www.chronicleofsocialchange.org for which neither registration nor a subscription fee is required (the “Chronicle Website”).  Blogger co-op participants (“Members”) will earn a share of revenues set aside for the co-op, based on the traffic each Member’s stories generate. If you sign up, we hope you will take advantage of your social networks to spread your stories far and wide.

PLEASE READ THIS BLOGGER CO-OP AGREEMENT CAREFULLY BEFORE CONTINUING, AS THE TERMS SET FORTH BELOW CONSTITUTE A BINDING CONTRACT BETWEEN YOU AND FOSTERING MEDIA CONNECTIONS (TOGETHER WITH ITS AFFILIATES, “FOSTERING MEDIA CONNECTIONS”), A CALIFORNIA NONPROFIT PUBLIC BENEFIT CORPORATION WHICH OPERATES THE CHRONICLE.  IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS SET FORTH BELOW, YOU MAY NOT PUBLISH ON THE CHRONICLE WEBSITE.  BY CLICKING “BUY MEMBERSHIP” AND THEREBY REMITTING PAYMENT FOR YOUR MEMBERSHIP, YOU INDICATE YOUR ACKNOWLEDGMENT THAT YOU HAVE READ AND ACCEPTED THIS BLOGGER CO-OP AGREEMENT.  THIS BLOGGER CO-OP AGREEMENT MAY CHANGE FROM TIME TO TIME. YOUR CONTINUED SUBMISSION OF MATERIALS TO THE CHRONICLE WEBSITE FOLLOWING CHANGES TO THIS BLOGGER CO-OP AGREEMENT IS DEEMED TO BE ACCEPTANCE OF THOSE CHANGES, SO YOU ARE RESPONSIBLE FOR REVIEWING THIS BLOGGER CO-OP AGREEMENT EACH TIME YOU SUBMIT MATERIALS.

Payment for Membership

Co-op membership is sixty dollars ($60.00) per year, and all payments for membership are nonrefundable.  This payment earns Members the opportunity to submit materials for consideration for publication on the Chronicle Website.

Submissions

Each Member may publish no more than four (4) submissions per month. Submissions may be no longer than six hundred (600) words. Video and other media are welcome, but will be reviewed on a case-by-case basis. Fostering Media Connections will take commercially reasonable efforts to publish the piece in the Chronicle within five (5) business days of its submission, but due to the varying nature of submissions, this time frame for publication is not guaranteed.

Bloggers are welcome to request a faster review and posting process for a piece based on time sensitivity of the piece. For such requests, e-mail bloggercoop@chronicleofsocialchange.org.

Revenue Sharing

Members will earn money for their participation in the co-op based on the number of Members participating, the level of involvement of each Member, advertising revenues earned by the Chronicle, and media grants procured by the Chronicle.

Each Member’s revenue share will be calculated twice annually, on June 30 and December 31, yielding a six (6) month revenue calculation period.  Each Member’s revenue share will be determined by the percentage of page views a given Members’ published submissions receive during the present calculation period.  The greater the percentage of page views resulting from a Member’s submissions, the greater that Member’s share will be.

Members who join during a calculation period will be included in the revenue distribution for that calculation period; however, late-joiners may have a low percentage of page views for that calculation period.  Fostering Media Connections does not guarantee that any payment will be made where Members’ submissions receive no page views or a negligible percentage of overall page views.

Fostering Media Connections will e-mail information about the revenue share per percentage of page views for the current calculation period to Members. This figure is based on revenues derived from Member participation, media grants, and our reasonable expectation of advertising revenues.

Fostering Media Connections reserves the right to change the revenue share per percentage of page views or the formula for calculating revenue shares.  Fostering Media Connections will post notice of any such changes on the Chronicle Website, and such changes will go into effect at the beginning of the calculation period immediately following notice of such changes.  By continuing to submit materials, Members indicate their acceptance of any such changes.

Members forfeit any and all right to receive payment under this Blogger Co-Op Agreement if their submissions constitute libel, plagiarism, or intellectual property infringement or if Members use any means in bad faith to artificially increase the number of page views their published submissions receive or encourage others to do so on their behalf, as determined by Fostering Media Connections in its sole discretion.

Germaneness, Ethics and Sound Writing

The Chronicle is an online publication focused on children, youth and their families. The blogger co-op has been established to provide a wealth of opinions and analysis to our readers, to complement the objective news coverage, resources and other editorial content provided by the Chronicle.

Aside from germaneness, the Chronicle is ethically opposed to publishing content that is obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, or racially or ethnically offensive.

Thus, Members are expected to submit opinion- and/or analysis-related content that is germane to the field of youth services. Members also agree not to submit material that is obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, or racially or ethnically offensive.

Fostering Media Connections reserves the sole and exclusive right to reject any submission for any reason, and is not responsible for notifying Members that their piece has been rejected.

Ownership of Intellectual Property

By posting or submitting content via the blogger co-op, you are giving Fostering Media Connections the right to display or publish such content on our websites, to store and distribute such content, and to use such content for promotional and marketing purposes.  You hereby assign to Fostering Media Connections all right, title, and interest in the pieces you submit to the Chronicle that are accepted for publication, including, but not limited to, all intellectual property rights (such as copyrights) and all moral rights in such pieces.

In turn, Fostering Media Connections hereby grants to you a non-exclusive, royalty-free, revocable, perpetual, worldwide license to republish your submissions that are published by the Chronicle in other publications. Under this license, you must provide the Chronicle with a five (5) day period of exclusivity beginning at the time we publish your piece before you may offer the piece in question to another publication.

Fostering Media Connections requires that all republications include the following statement above the reproduced content: “The below is reproduced from the Chronicle of Social Change with the permission of Fostering Media Connections.”  If the material is republished on another website, a link to the original article must be included.

Representations and Warranties of Bloggers

You represent and warrant that:

You own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all intellectual property rights, including, but not limited to, patent, trademark, trade secret, copyright or other proprietary rights, in and to any and all such submissions to enable inclusion and use of such submissions in the manner contemplated by Fostering Media Connections and this Blogger Co-Op Agreement and that such material does not infringe or otherwise violate anyone’s intellectual property interests or other rights, and is not false, misleading, defamatory or otherwise contrary to law or regulation.

Termination and Survival

Fostering Media Connections reserves the right, for any reason and without notice, in its sole discretion, to terminate, change, suspend, or interrupt access, in whole or in part, to the Chronicle Website and shall only be obligated to refund Members a pro-rata share of the Membership fee for the unused portion of the period that such fee covered as well as any payments pursuant to the Revenue Sharing section, if, and only if, such termination is without cause (cause may include, but is not limited to, breach of this Blogger Co-Op Agreement, violation of law, infringement of intellectual property, libel, or violation of rights of privacy or publicity). The terms of this Blogger Co-Op Agreement that, by their nature, survive the termination or expiration of this Blogger Co-Op Agreement, shall so survive.

Our Liability to You is Limited

You agree that, except as set forth in the Termination section above, Fostering Media Connections will not otherwise be liable to you or any third party if for any reason the Chronicle Website is unavailable at any time or for any period.  Fostering Media Connections further reserves the right to impose additional or other registration, password and other security precautions on access to and use of the Chronicle Website, including Member access.

You acknowledge and agree that, regardless of any statute or law to the contrary, any claim or action brought against Fostering Media Connections must be filed within one (1) calendar year after such claim or cause of action arises, or it shall be deemed waived and forever barred.

You are responsible for and agree to indemnify, defend and hold harmless the Chronicle, Fostering Media Connections and its directors, officers, employees, licensors, contractors, associates, affiliates, or agents from and against any third party claims arising from or related to Fostering Media Connections’ use of the material you submitted or relating to your use of the Chronicle Website. THE CHRONICLE AND FOSTERING MEDIA CONNECTIONS ARE NOT LIABLE FOR INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST REVENUES OR PROFITS, LOSS OF BUSINESS OR LOSS OF DATA, IN ANY WAY RELATED TO THIS SITE DUE TO LOSS OR INJURY BASED ON ERRORS, OMISSIONS, INTERRUPTIONS OR OTHER INACCURACIES IN OUR SITE. ANY CLAIM AGAINST US SHALL BE LIMITED TO THE AMOUNT YOU PAID, IF ANY, FOR MEMBERSHIP TO OUR SITE.

Any Dispute Between Us Will be Governed by California Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without reference to any conflict of law principles. You agree that any action at law or in equity arising out of or relating to this Blogger Co-Op Agreement shall be filed only in the state and federal courts located in Santa Clara County, California, you hereby irrevocably and unconditionally consent and submit to the exclusive personal jurisdiction of such courts for these purposes, and you hereby waive any objection to laying venue in any such courts.

Privacy Policy and Terms of Use

You agree to the Chronicle Website’s Privacy Policy [https://chronicleofsocialchange.org/privacy] and Terms of Use [https://chronicleofsocialchange.org/terms-of-service], which are incorporated herein by reference.

Severability

Should any term of this Blogger Co-Op Agreement be finally held by a court of competent jurisdiction to be invalid, unenforceable, void, or otherwise contrary to law or equity, Fostering Media Connections and you agree that such provision shall be automatically severed and the remainder of this Blogger Co-Op Agreement that can be given effect shall continue to be given effect.

Entire Agreement

This Blogger Co-Op Agreement, the Privacy Policy and Terms of Use referenced herein, and any other applicable terms and conditions, whether referenced in this Blogger Co-Op Agreement or not, constitute the entire agreement between the parties.  This Blogger Co-Op Agreement is binding on you, your successors, and any permitted assigns.  The invalidity or unenforceability of any provision of this Blogger Co-Op Agreement will not affect the validity or enforceability of any other provision of this Blogger Co-Op Agreement, which will remain in full force and effect.

BY AGREEING AND PAYING TO PARTICIPATE IN OUR BLOGGER CO-OP, YOU AGREE TO ABIDE BY THESE TERMS AND CONDITIONS.
